Terms of Service
1. About these terms
These terms apply to your use of crystalriverdesigns.com and to the services you buy from Crystal River Designs ("we", "us"), 3360 Alice St, Houston, TX 77021, USA. By using the site or placing an order, you agree to them. If you don't agree, please don't use the site or place an order.
2. Our services
We offer web design and related services, listed on the site with a description, a price and a turnaround: Custom Website Design, Website Redesign, E-commerce Design, Landing Pages, Branding & Logo, and Website Care & SEO, along with add-ons. Each package's scope is the list of inclusions shown for it on the site when you order, as confirmed in writing at kickoff.
3. Orders and contract
An order placed on this site is a request to start a project. A contract forms when we confirm the order in writing, usually by email, and send an invoice. We may decline an order, for example if the scope is unclear. If we do, you'll owe nothing, and any amount paid is refunded in full. The checkout on this site currently runs in demonstration mode: no payment is taken when you place an order, and payment is arranged by invoice after we confirm.
4. Prices, deposits and payment
- Prices are in US dollars and are fixed for the listed scope.
- For one-off packages, a 50% deposit is due to start the project and the balance is due at launch. The site goes live after the balance is paid, or on payment of the balance at launch, whichever we agree in the written scope.
- Care plans bill monthly in advance. The first month is due when you order.
- Sales tax, if it applies, is confirmed on your invoice.
- Late invoices may delay work. We may pause a project while an invoice is overdue.
- You are responsible for third-party costs unless we've included them in writing: domain registration, hosting, platform subscriptions (such as Shopify), apps, stock assets and payment-processing fees.
5. Changes to scope
Work outside the package's listed scope is quoted in writing before we start. We bill nothing for it unless you approve it in writing.
6. Timeline and your responsibilities
We confirm a launch date at kickoff. The date depends on you providing content, feedback and access promptly. Each design stage includes two rounds of revisions, where a round is one consolidated set of feedback. Additional rounds can be added at a price we quote first. If you're late with content or feedback, the date moves, and we'll tell you. You confirm that you have the right to use everything you give us, such as text, images and logos.
7. Ownership and intellectual property
On receipt of full payment, we transfer to you ownership of the final design, code and content we create specifically for your project. You keep ownership of materials you provide. We keep ownership of our pre-existing tools, code libraries and working files, and give you a license to use any that are part of the delivered site. Third-party components (fonts, plugins, themes, stock assets) remain under their own licenses, which we list at handover. Until full payment, ownership stays with us, and you may use work in progress only for review.
8. Portfolio
We may describe a finished project and show it in our portfolio unless you tell us in writing before launch that you'd prefer we don't. We won't publish confidential information.
9. Care plans
Care plans renew monthly until cancelled. You can cancel any time. Cancellation takes effect at the end of the month you've paid for, and we don't refund a partial month. Included edit hours reset each month. Work beyond them is quoted before we start. We'll look after your site with reasonable skill and care, but we don't promise rankings, traffic or uptime beyond what your host provides.
10. Cancellations and refunds
Cancellations and refunds are governed by our Refund & Cancellation Policy, which forms part of these terms.
11. Acceptable use of the site
Don't misuse the site: no attempts to break, overload or gain unauthorized access to it, no scraping at scale, and no unlawful use. We may restrict access if you do.
12. No guarantee of results
We design and build to a high professional standard, but we can't guarantee business outcomes, such as search rankings, traffic, enquiries or sales. These depend on factors outside our control.
13. Warranties and disclaimers
We'll perform the services with reasonable skill and care. For 30 days after launch, we'll fix defects in our work that make the site fail to match the agreed scope, at no charge. Except as stated in these terms, and to the fullest extent Texas law allows, the site and services are provided "as is" and we disclaim all other warranties, including implied warranties of merchantability and fitness for a particular purpose.
14. Limitation of liability
To the fullest extent Texas law allows, we're not liable for indirect, incidental, special or consequential losses, including lost profits, revenue, data or goodwill. Our total liability for any claim relating to a project is limited to the amount you paid us for that project in the 12 months before the claim. Nothing in these terms limits liability that can't be limited by law.
15. Indemnity
You'll defend and compensate us against third-party claims arising from materials you provide that infringe someone else's rights or break the law.
16. Privacy and cookies
How we handle personal information is explained in our Privacy Policy and Cookie Policy.
17. Governing law and disputes
These terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules. Before starting any formal proceeding, both sides will try to resolve the dispute by talking in good faith for at least 30 days. Courts in Harris County, Texas, have exclusive jurisdiction, and both sides consent to that venue.
18. Changes
We may update these terms. The version in effect when you place an order applies to that order. For site use, the latest version applies.
